Wholesale Agreement
1. Purpose
S-Mark Beauty Supply agrees to sell, and the Buyer agrees to purchase, salon products at wholesale prices for use and/or resale in the Buyer’s salon, studio or suite.
2. Eligibility
The Buyer must be a currently licensed hairstylist or salon owner. S-Mark Beauty Supply may request proof of a professional license or business registration before approving wholesale purchases.
3. Order Minimums and Limited Quantities
a. There are no order minimums at this time.
b. S-Mark Beauty Supply may reserve the right to limit quantities purchased/shipped based on inventory on hand and promotional availability/pricing.
4. Pricing Information
a. Online pricing is displayed in US dollars. S-Mark Beauty Supply reserves the right to change, edit and/or correct pricing at any time without written or verbal communication.
b. Promotional pricing is available on a first-come, first served basis and subject to product availability. No rain-checks or back-orders will be honored.
5. Payment Terms
a. All orders must be paid in full before shipping.
b. Accepted payment Methods: Visa, Mastercard, American Express and Discover.
6. Shipping and Order Processing
a. The Buyer is responsible for the shipping cost and will be calculated at checkout.
b. Orders submitted and credit card payment received by 10:00 AM Arizona Mountain Standard Time, Monday through Thursday will be processed the same day (unless said day is an observed Holiday). *
c. Ground and Priority Mail are standard shipping methods** unless otherwise chosen, and paid for by the Buyer, upon order submission.
d. Orders cannot be shipped to P.O. Boxes or APO/FPO addresses.
*Salon Equipment and Furniture: The shipping method for equipment orders will be determined by item/order weight. Timeframes differ depending on item/s ordered. Equipment cannot be sent to a P.O. Box or by using USPS. Equipment cannot be shipped to Alaska, Hawaii, Puerto Rico or Canada, other restrictions may apply based on item ordered.
** Hazardous Materials: The U.S. Department of Transportation (USDOT) restricts air shipment of items containing hazardous materials that could contribute to a fire or other danger on board an aircraft. Aerosol products in pressurized spray containers (e.g., hairspray, mousse) and products containing flammable, volatile, or corrosive chemicals (e.g., developers and peroxides) are considered hazardous materials. Ground Shipping is required for these such items.
7. Delivery
a. Undeliverable orders due to Buyer absence or faulty address provided by Buyer, are the responsibility of said Buyer. Fees and charges for re-delivery attempts and/or re-shipments are the sole responsibility of Buyer. Undeliverable orders are returned to S-Mark Beauty Supply, Buyer will be refunded for items/product in shipment only.
b. Order discrepancies and/or damages must be reported within 48 hours of delivery.
8. Out of Stock Items
a. There may be a time an item may go out of stock during your order and check out process. If an item is out of stock after your order is placed, you will not be charged for said out of stock item/s.
b. S-Mark Beauty Supply does not ship Out of Sock items, Buyer will need to reorder on next order.
9. Returns and Exchanges
a. No Returns on: Bodyography, Retinol by Robanda, Shears, PPE Items, Sundries, Apparel, Linens, Sanitizers, Disinfectants, or Clearance Items.
b. Beauvoir items: Up to 30 Days of purchase with invoice/receipt, ALL Beauvoir items MUST BE UNOPENED and in original purchased condition.***
c. Other Non-Electric items (not listed in 9a or 9b): Up to 30 Days of purchase with invoice/receipt.***
d. Return Timeframes for Appliances vary by manufacturer, please contact us for more information.***
*** NO RETURNS PERMITTED WITHOUT PRIOR AUTHORIZATION AND RA#. All return shipping/handling charges are the responsibility of the Buyer.
10. Branding and Resale Guidelines
a. The Buyer may not rebrand, alter or misrepresent items purchased from S-Mark Beauty Supply.
b. The Buyer is permitted to sell products only in their salon, suite, studio or own business online store.
c. The Buyer may not sell items purchased from S-Mark Beauty Supply on third party marketplaces (ie: Amazon, eBay, etc) without prior written consent.
d. The Buyer may not purchase items with intent on diversion and the like.
e. Where applicable, MAP (Minimum Advertised Pricing) must be applied and carried out by Buyer.
a. This agreement remains in effect until either party provides written notice of termination.
b. S-Mark Beauty Supply reserves the right to terminate this Agreement immediately if the Buyer violates any terms.
12. Confidentiality
Both parties agree to keep wholesale pricing, product formulations and other confidential business information private.
13. Governing Law and Disputes
This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona. Any disputes shall be resolved through mediation or arbitration before legal proceedings.
